On giving not less than 30 nor more than 60 days' notice to the Bondholders in accordance with Condition 16 (which notice will be irrevocable) and in writing to the Trustee and the Principal Agent, the Issuer may at any time prior to the Maturity Date redeem in whole, but not in part, the Bonds for the time being outstanding at their principal amount, together with interest accrued (if any) to (but excluding) the date fixed for redemption provided that prior to the date of such notice at least 90 per cent. in principal amount of the Bonds originally issued (including any further bonds issued 81 pursuant to Condition 15 and consolidated and forming a single series with the Bonds) has already been converted, redeemed or purchased and cancelled.
Cessation Put
Following the occurrence of a Relevant Event (as defined below), the Holder of each Bond will have the right (the "Delisting Put Right") at such Holder's option, to require the Issuer to redeem all or some only (subject to the principal amount of such Holder's Bonds redeemed and the principal amount of the balance of such Holder's Bonds not redeemed being an Authorised Denomination) of such Holder's Bonds on the Relevant Event Redemption Date at their principal amount, together with interest accrued (if any) to (but excluding) the date fixed for redemption. To exercise such right, the Holder of the relevant Bond must deposit at the specified office of any Paying Agent a duly completed and signed notice of redemption, in the form for the time being current, obtainable from the specified office of any Paying Agent, specifying the number of Bonds to be redeemed and the Relevant Event that has occurred ("Relevant Event Redemption Notice"), together with the Bond Certificate evidencing the Bonds to be redeemed by not later than 30 days following the date upon which notice thereof is given to Bondholders by the Issuer in accordance with Condition 16. The "Relevant Event Redemption Date" shall be the fourteenth day after the expiry of such period of 30 days as referred to above.

For the purposes of these Conditions, a "Relevant Event" occurs when the Shares cease to be listed or admitted to trading on the SGX-ST or, if applicable, the Alternative Stock Exchange, or suspended for trading on the SGX-ST or, if applicable, the Alternative Stock Exchange, for a period equal to or exceeding 30 consecutive Trading Days (a "Delisting").

Conversion Right

The Bonds are convertible by holders into Shares at any time during the Conversion Period (at the place the certificate evidencing the Bond is deposited for conversion), unless previously redeemed, converted, or purchased and cancelled.


Conversion Period

Convertible at the option of the holder of the Bonds (each, a "Bondholder"), at any time on or after 41 days after the Issue Date up to the close of business (at the place where the certificate evidencing a Bond is deposited for conversion) on the 10th day prior to the Maturity Date (both dates inclusive), subject to customary closed periods and the Terms and Conditions.


Conversion Price

The price at which Shares will be issued on conversion, as adjusted from time to time, will initially be S$5.743 per Share but will be subject to adjustment in the manner provided in the Terms and Conditions.


Adjustments to Conversion Price

The Conversion Price will be subject to adjustment in certain events including: consolidation, subdivision, redesignation or reclassification; capitalisation of profits or reserves; distributions; rights issues of Shares or options over Shares; rights issues of other securities; issues at less than current market price; other issues at less than current market price; modification of rights of conversion; other offers to shareholders; determination by the Issuer and other events.
