Change Control Put

Upon the holder of any Note giving to the Issuer not less than 30 and not more than 45 days’ notice (which notice shall be irrevocable) in accordance with Condition 14, which notice shall be given no later than 45 days following the occurrence of a Change of Control Event or, if later, 45 days from the date of the Change of Control Notice (as defined below), the Issuer will, upon the expiry of such notice, redeem all, but not some only, of such Note at a redemption price equal to 101 per cent. of its principal amount, or such other amount as specified in the relevant Pricing Supplement, together with interest accrued but unpaid (if any) to (but excluding) the date fixed for redemption.

“Change of Control Event” occurs when Baiduri Holdings Berhad ceases to own and control, either directly or indirectly at least 51 per cent. of the Issuer’s issued and paid-up share capital, where “control” means the power to direct the management and policies of the entity whether through ownership of voting capital, by contract or otherwise.
