Distribution Rate Step Up
(a) Subject to Item 7(b) and Item 7(c) below, the Expected Periodic Distribution Amount payable for the Sustainability-Linked Sukuk Wakalah shall be calculated at the Periodic Distribution Rate which shall be at the rate of 5.55% per annum calculated on the Nominal Value of each of Series No. 1.
(b) Upon the occurrence of a Trigger Event A (as defined below under Item 7(d)), the Periodic Distribution Rate shall be increased by 0.1% per annum and shall commence from the Periodic Distribution Period (as defined in Item 8) of 7 June 2025 to 7 December 2025, and each Periodic Distribution Period thereafter. For avoidance of doubt, the increased Periodic Distribution Rate
(c) Upon the occurrence of a Trigger Event B (as defined below under Item 7(e)), the Periodic Distribution Rate shall be increased by 0.15% per annum and shall commence from the Periodic Distribution Period of 7 June 2025 to 7 December 2025, and each Periodic Distribution Period thereafter. For avoidance of doubt, the increased Periodic Distribution Rate shall apply to all Periodic Distribution Dates until the relevant Scheduled Dissolution Date, with the first Periodic Distribution Date falling on 7 December 2025. If, following an increase in the Periodic Distribution Rate after the occurrence of Trigger Event B, SPT#2 or SPT#3 or both of them are achieved, there will be no decrease to the Periodic Distribution Rate and the Periodic Distribution Rate will remain unchanged. shall apply to all Periodic Distribution Dates until the relevant Scheduled Dissolution Date, with the first Periodic Distribution Date falling on 7 December 2025. If, following an increase in the Periodic Distribution Rate after the occurrence of Trigger Event A, SPT#1 is achieved, there will be no decrease to the Periodic Distribution Rate and the Periodic Distribution Rate will remain unchanged.
(d) “Trigger Event A” shall mean:
(i) SPT#1 (as defined in Item 21) is not achieved by the Observation Date; or
(ii) the Sustainability-Linked Performance Report (as defined in Item 18), Verification Report (as defined in Item 18) or the SPT Confirmation Notice (as defined in Item 18) is not delivered by the Issuer to the Sukuk Trustee and the Facility Agent within the period specified under Item 18 below, and references to “Trigger Event A” shall include references to any one or more of them.
(e) “Trigger Event B” shall mean:
(i) SPT#2 (as defined in Item 21) and SPT#3 (as defined in Item 21) or any of them are not achieved by the Observation Date; or
(ii) the Sustainability-Linked Performance Report, Verification Report or the SPT Confirmation Notice is not delivered by the Issuer to the Sukuk Trustee and the Facility Agent within the period specified under Item 18 below,
and references to “Trigger Event B” shall include references to any one or more of them.
For the avoidance of doubt:
(i) Trigger Event A and Trigger Event B may both occur at the same time, and in such case, the Periodic Distribution Rate shall be increased pursuant to both Item 7(b) and Item 7(c); and
(ii) the Sukuk Trustee shall not be obliged to monitor, inquire or verify as to whether the Selected SPTs (as defined in Item 21) have been satisfied.
